This session focuses on the critical intersection between insolvency law and the functioning of capital markets, in the EU and beyond: how markets respond as insolvency risk builds or crystallizes, what that does to new-issue pricing, collateral and liquidity, and how those dynamics drive the decisions of issuers, investors, banks and market operators. Features a keynote speech by Jakub Michalik, Chief Policy Officer and Member of the Executive Committee at Euronext.

Teresa Kauppila

Bio
Teresa Kauppila is a Partner at Castrén & Snellman, one of Finland’s leading law firms, where she advises her clients mainly on equity capital market transactions, public M&A, and corporate law. She has played a key role in many of the firm’s most significant capital markets mandates, including public takeovers, mergers and demergers of listed companies, and initial public offerings. Teresa also regularly serves as chair or secretary of general meetings of listed companies. She has additional first-hand experience of corporate legal operations from the inside, having completed a secondment in the corporate legal team of a Nasdaq-Helsinki-listed company. Before pursuing a career in law, Teresa worked as a newspaper journalist, an experience that shaped her approach to research, clear communication, and finding practical solutions.

Jaime Carey is a Partner of Carey and co-head of the firm’s Mergers & Acquisitions Group. Lawyer, graduated from Pontificia Universidad Católica de Chile (Summa Cum Laude) and Master of Laws (LL.M.) from Columbia University. His practice focuses primarily on M&A transactions, corporate and commercial law, public works bidding processes, capital markets and international trade. An AIJA member since 2024.
David Jin

Bio
David is a Counsel in the litigation and insolvency team in Hong Kong, where he practices the laws of the Cayman Islands and the British Virgin Islands. Prior to moving offshore, David worked in Sydney as a solicitor for the law firm Holman Webb, a firm with over 70 years of history. During that time, he gained valuable experience in dealing with commercial disputes and insolvency matters. While practicing in Sydney, David attended hearings at District Court of New South Wales, the Supreme Court of New South Wales, the Court of Appeal of New South Wales, and Federal Court of Australia. Since moving to offshore practice in 2017, David has been advising state owned enterprises, financial institutions, public listed companies, private companies and high net worth individual clients in relation to shareholder disputes, fund disputes, insolvency & restructuring, and general commercial disputes in the jurisdictions of the British Virgin Islands and the Cayman Islands. In 2019, David spent a year in the Cayman Islands on secondment and appeared in person as an advocate before the Grand Court of the Cayman Islands. David has also appeared before the High Court of Justice, Virgin Islands, Eastern Caribbean Supreme Court.
Eva Sagristá

Eva Sagristá is a Barcelona-based lawyer and head of the Corporate Department and the Italian/French Desks at her firm. Specializing in corporate law and cross-border restructurings, she has over a decade of experience advising multinational groups on pre-insolvency strategies and financial distress. She holds postgraduate degrees in International, Procedural, and Business Law, and works fluently in five languages. A dedicated AIJA member since 2014, she served as National Representative for Spain (2022–2025) and has frequently participated as a speaker in several AIJA and INSOL conferences on insolvency. Today, she brings a highly practical, comparative perspective on how insolvency rules impact cross-border investment dynamics.
Vít is an attorney-at-law from the Czech Republic and a managing partner at endors law firm. He specializes in commercial law, with a focus on mergers and acquisitions, capital markets, and related litigation. He possesses extensive experience in managing teams, settling disputes, conducting strategic negotiations and closing high-value, regularly international, transactions. Vít is also a lecturer at Charles University in Prague and sports, arts and history enthusiast.

Andreea Zvâc is a Partner at Wolf Theiss’s Bucharest office and she is currently coordinating the Insolvency and Restructuring practice. Andreea has more than 20 years of experience, during which she has worked as a dispute resolution, arbitration and insolvency lawyer in variety of disputes, related to very diverse matters and industries. Andreea has significant experience in large claims recovery matters, conducted both by enforcement and insolvency proceedings and also requiring cross-border experience. In the past years, Andreea has focused her activity on the management of insolvency and restructuring cases, gaining experience in handling diverse and complex insolvency and restructuring matters. Her experience and versatility is an advantage for clients requiring support in high profile and complex insolvency and restructuring cases.
